Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 27, 2025, and with immediate effect, Dr. Sheldon Retchin, a Class III Director of Aveanna Healthcare Holdings Inc., a Delaware corporation (the "Company"), notified the Company of his resignation from the Company's Board of Directors for personal health reasons. Dr. Retchin informed the Company his resignation was not due to any disagreement with the Company on any matter relating to its operations, policies or practices. Dr. Retchin was an independent director, serving on the Audit Committee of the Board of Directors, as well as the Chair of the Clinical Quality Committee.
