EXPLANATORY NOTE

Designation of New Effective Date for Previously Filed Amendment

This Post-Effective Amendment No. 446 to the Registration Statement on Form N-1A for the Direxion Shares ETF Trust is being filed solely for the purpose of delaying, until February 22, 2026, the effectiveness of Post-Effective Amendment No. 441 with respect to the Direxion Daily QQQE Bull 3X ETF, which was filed with the Commission via EDGAR Accession No. 0001193125-25-237095 on October 10, 2025.

Post-Effective Amendment No. 444 was filed pursuant to Rule 485(b)(1)(iii) for the sole purpose of designating January 23, 2026, as the new date upon which the Amendment would become effective.

This Post-Effective Amendment No. 446 incorporates by reference the information contained in Parts A, B, and C of the Amendment.
