Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 21, 2026, Eric Scheyer notified the Board of Directors (the "Board") of Great Elm Group, Inc. (the "Company") of his decision not to stand for re-election to the Board at the Company's 2026 annual meeting of stockholders (the "2026 Annual Meeting"). Mr. Scheyer will continue to serve as a director until the date of the 2026 Annual Meeting. The Board expresses its sincere gratitude to Mr. Scheyer for his valued insights and meaningful contributions during his tenure.

Mr. Scheyer's decision is not to the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
