Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 30, 2026, Processa Pharmaceuticals, Inc. (the "Company") held its 2026 Annual Meeting of Shareholders (the "Annual Meeting"). At the Annual Meeting, shareholders of the Company approved an amendment to Processa Pharmaceuticals, Inc. 2019 Omnibus Incentive Plan ("Incentive Plan") to increase the number of shares available for issuance under the plan by 200,000 shares. A more detailed description of the Incentive Plan was set forth in the Company's definitive Proxy Statement for the Annual Meeting filed with the Securities and Exchange Commission on June 18, 2026 (the "Proxy Statement") under the heading "Proposal No. 2: Approval of Amendment and Restatement of the Processa Pharmaceuticals, Inc. 2019 Omnibus Incentive Plan."
