On October 12, 2026, James Bahrenburg stepped down from his role as Chief Technology Officer of Sprouts Farmers Market, Inc. (the "Company"). Mr. Bahrenburg's departure was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices. Mr. Bahrenburg will continue to serve as an advisor to the Company through March 31, 2027 to support an orderly transition, and his existing equity awards will continue to vest and he will be eligible to receive amounts due under the Company's cash bonus plan during such service. Mr. Bahrenburg is also eligible for severance benefits under the Company's Amended and Restated Executive Severance and Change in Control Plan.
