(the "Company" or the "Registrant") is filing this Registration Statement with the Securities and Exchange Commission (the "Commission") to register 8,464,025 additional ordinary shares, par value NIS 0.01 per share, under the Wix.com Ltd. 2013 Incentive Compensation Plan, as amended (the "2013 Plan"), in connection with increases in the number of shares reserved for issuance under the 2013 Plan.
