This prospectus relates to the offer and resale from time to time of up to an aggregate 1,172,414 shares of our common stock, par value $0.001 per share, all of which are issuable upon the exercise of warrants to purchase shares of common stock (the "Warrants," and such shares of common stock issuable upon exercise of the Warrants, the "Warrant Shares"), by the selling stockholder named herein, together with any additional selling stockholders listed in a prospectus supplement (together with any of such stockholders' transferees, pledgees, donees or successors). The Warrants were acquired by the selling stockholder named herein pursuant to a securities purchase agreement, dated November 24, 2025 (the "Purchase Agreement"), in a transaction more fully described in the section titled "Prospectus Summary."

We are registering the offer and sale of the Warrant Shares from time to time by the selling stockholders to satisfy the registration rights granted in connection with the issuance of the Warrants. We will not receive any proceeds from the sale of the Warrant Shares by the selling stockholders.

Company Overview

We are a clinical-stage biotechnology company with a diverse portfolio of targeted and immune-mediated product candidates with the potential to be first-in-class to treat a wide range of cancers. Our novel programs range from early research to the lead program, amezalpat (previously known as TPST-1120), that, subject to the need for additional resources, is ready to begin a pivotal study in first-line hepatocellular carcinoma, or HCC. On November 24, 2025, we entered into the Purchase Agreement with the selling stockholder named herein, pursuant to which we agreed to issue and sell (i) in a registered direct offering an aggregate of 487,000 shares of our common stock, and prefunded warrants to purchase 685,414 shares of our common stock, pursuant to an effective shelf registration statement on Form S-3 (File No. 333-280918) and a related prospectus and prospectus supplement thereunder, and (ii) in a concurrent private placement, Warrants to purchase an aggregate of 1,172,414 shares of our common stock. The combined purchase price of each share of common stock and accompanying Warrant was $3.625. The combined purchase price of each prefunded warrant and accompanying Warrant was $3.624 (equal to the combined purchase price per Share and accompanying Warrant, minus $0.001). The Warrants have an exercise price of $3.50 per share and are exercisable immediately upon issuance for an eighteen month period following the date of effectiveness of this registration statement.
