Honigman recently represented Gentherm (Nasdaq: THRM) in connection with the completion of its combination with Modine's Performance Technologies business.
Gentherm is a global provider of thermal and precision flow management technologies. The transaction was structured as a Reverse Morris Trust transaction, pursuant to which Modine's Performance Technologies business was spun off into a separate subsidiary and then merged with a wholly-owned subsidiary of Gentherm. As part of the transaction, Gentherm acquired the Modine brand, domains, and trademarks and will continue to go to market as Modine. In connection with the closing of the transaction, Paul Mascarenas was appointed to Gentherm's Board of Directors.
