On May 8, 2025, TA Associates' Fund XV announced its intention to acquire a controlling interest in FD Technologies PLC (AIM and Euronext Growth Dublin). Willkie is advising FD Technologies' largest shareholder, Irenic Capital Management, on the transaction.
The binding offer from TA will, subject to customary conditions, lead to the acquisition of FD Technologies at an offer price per share of £24.50 and values FD Technologies' entire issued and unissued share capital at £570 million. The takeover offer also provides for an alternative non-cash offer comprising unlisted shares in the acquiring group.
Founded in 1996, FD Technologies is one of Northern Ireland's largest homegrown technology businesses and provides consulting, business services, and technology solutions, primarily in the financial services and capital markets sectors.
Irenic Capital Management is an investment management firm that invests in unique, special situation opportunities.
The Willkie team is being led by partners Gavin Gordon, William Buchanan, and Maurice Lefkort.
