Katten Represents Profusa in Option Agreement for Potential Acquisition of G3 Vision Labs

Katten represented Profusa, Inc., a digital health company pioneering next generation biosensing technologies, in connection with an Option Agreement that provides Profusa with the right, subject to specified conditions, to acquire G3 Vision Labs, Inc. and its subsidiaries, including Med Screen Laboratories Inc., Dominion Diagnostics LLC and Acutis Diagnostics Inc.

The transaction positions Nasdaq-listed Profusa to potentially expand beyond its biosensing platform into the diagnostics sector through the acquisition of a commercial-stage laboratory testing business. Assuming financing of $30 million is raised and the option is exercised, the combined company is expected to operate as a public diagnostics company with national CLIA-certified laboratories and a diversified provider base serving addiction treatment, pain management and behavioral health.

"This transaction represents a significant strategic opportunity for Profusa as it evaluates expanding its platform and presence within the healthcare diagnostics market," said Josh Kaufman, Managing Partner of Katten's Miami Office and Lead Partner of the firm's Public Company Advisory Practice. "We were pleased to help guide Profusa through a complex structure that positions the company to pursue a transformative acquisition and secures its Nasdaq listing."

The Katten team advising Profusa was led by Kaufman together with Partners Alison Yuko Krieser and Jonathan Weiner. Partners Anthony Del Rio and Saul Rudo, Counsel Emery Lyon and Associates Aaron Weiss, Kyle Warbinton, Miriam Wang, Audrey Nelson and Caitlin Kierum provided support.

Tungsten Advisors served as the financial advisor to Profusa.
