Willkie represented EnCap Flatrock Midstream in connection with the sale of its Plains Series A Preferred Units to Plains All American Pipeline, L.P. (Nasdaq: PAA) for approximately $330 million.
Plains announced on January 7 that it agreed to purchase approximately 12.7 million units, or 18%, of its outstanding Series A Preferred Units from EnCap Flatrock Midstream for a purchase price of approximately $330 million.
EnCap Flatrock Midstream provides value-added growth capital to proven management teams focused on midstream infrastructure opportunities across North America.
The Willkie team was led by partner Sarah McLean and associate Erin Kaufman.
