On September 9, Marc TreviƱo, Melissa Sawyer, Lawrence Elbaum, Patrick Gadson and June Hu hosted a webinar to explain the lessons of the 2025 Proxy Season and what to expect in 2026. They examined topics including Rule 14a-8 shareholder proposals, compensation-related matters and shareholder activism, among other topics.
The webinar draws on Sullivan & Cromwell's 13th annual Proxy Season Review, which analyzes significant trends and developments that emerged from the past proxy season. The first part of our Review surveys shareholder proposals during the 2025 proxy season, which saw intensifying polarization of proposals on ESG topics and the record number of no-action requests submitted by companies. The second part of the Review focuses on trends in compensation-related matters. The third part of our Review is focused on shareholder activism.
