Item 9. Other Events
On August 6, 2026, CW Petroleum Corp, a Wyoming corporation (the "Company"), entered into a Share Exchange Agreement (the "Agreement") with Christopher Williams, the CEO and director of the Company. Pursuant to the Agreement, Mr. Williams exchanged 220,000 shares of Series A Preferred Stock for 110,000,000 shares of Common Stock.
The foregoing description of the Amendment is qualified in its entirety by reference to the copy of the Agreement attached hereto as Exhibit 10.1 and incorporated herein by reference.
