The Role of Relationships in a Successful 1031 Exchange

Real estate is a relationship-driven business. Whether sourcing an off-market property, negotiating a transaction, or identifying the next investment opportunity, who you know and the relationships you've built can make a significant difference. This is particularly true when executing a 1031 exchange, where timing and access to the right opportunities are critical.

A 1031 exchange allows investors to defer capital gains taxes by reinvesting proceeds from the sale of an investment property into another qualifying property. While the tax advantages are attractive, successfully completing an exchange requires careful planning, coordination, and the ability to act quickly.

At Lucern Capital Partners, relationships are fundamental to how we source, evaluate, and execute real estate investments. They also play an important role in helping investors navigate the complexities of a 1031 exchange.

The Advantage of an Established Network

One of the biggest challenges in a 1031 exchange is finding a suitable replacement property within the required timeframe. Investors generally have 45 days after selling their relinquished property to identify potential replacements and 180 days to complete the acquisition, subject to applicable tax-return deadlines. In a competitive real estate market, those deadlines can significantly limit an investor's options.

An established network of property owners, brokers, and local operators can provide access to opportunities before they are broadly marketed. These relationships also offer insight into local market conditions, seller motivations, and property performance that may not be apparent from a listing or offering memorandum.

For real estate sponsors who are actively engaged in their markets, sourcing opportunities is an ongoing process rather than something that begins when a transaction is imminent. This creates an advantage when a 1031 exchange opportunity arises, particularly when an investor needs to identify a property that meets specific investment criteria within a limited window.

Strong Relationships Support Successful Execution

Finding the right replacement property is only part of a successful 1031 exchange. The ability to move a transaction from acquisition to closing within a limited timeframe is equally important, particularly when unexpected challenges arise.

In commercial real estate, transactions rarely unfold exactly as planned. Established relationships with lenders, brokers, attorneys, and other industry professionals can make a meaningful difference in how efficiently a deal moves forward. When the parties involved have a history of working together, there is often a greater level of trust, more direct communication, and a shared understanding of what it takes to get a transaction completed.

Lucern's recent acquisition of Edmonston Road Business Center in Beltsville, Maryland, offers an example of how an established investor relationship can lead to a new investment opportunity. Completed as part of a 1031 exchange for a longtime investor, the transaction allowed the investor to redeploy capital into a 38,561-square-foot industrial and flex property while deferring capital gains taxes.

The acquisition brought all 28 units, previously divided among four ownership groups, under a single owner for the first time. This consolidation creates an opportunity to streamline property management, make improvements across the asset, and increase below-market rents as leases roll over. Located in the Baltimore-Washington corridor, the property also benefits from demand for smaller industrial spaces and limited new flex development.

The transaction illustrates why the right investment matters as much as completing the exchange itself. Beyond the immediate tax advantages, Edmonston Road offered an opportunity to improve property performance and create long-term value, consistent with Lucern's investment strategy.

Taking a Long View

In commercial real estate, the strongest relationships are built over time and extend well beyond any single transaction. As investors' objectives evolve and market conditions change, maintaining those connections can open the door to new opportunities and help inform future investment decisions.

For real estate sponsors, these ongoing relationships provide a deeper understanding of an investor's priorities, investment history, and long-term goals. That familiarity makes it easier to recognize opportunities that align with their interests, often before they're actively looking to make another investment.

At Lucern, we've built our business on this approach. By maintaining strong relationships with investors and industry partners, we stay connected to both sides of the market, understanding where investors want to deploy capital and where compelling real estate opportunities may exist. It's an approach that has helped us build lasting partnerships and pursue investments with the potential to create long-term value.
