Baker McKenzie advised Amadeus Fire AG on all legal aspects in connection with its 2026 Annual General Meeting, which was held in a virtual format.
At the Annual General Meeting, all proposed resolutions were adopted by clear majority. These included, among other things, the approval of the actions of the Management Board and Supervisory Board, the approval of the remuneration report, the appointment of the statutory auditor as well as the auditor for sustainability reporting, and the new appointment or reappointment of the shareholder representatives on the Supervisory Board.
In addition, the shareholders resolved to create new Authorized Capital 2026. Furthermore, the proposal by the Management Board and Supervisory Board not to distribute a dividend for fiscal year 2025 and to carry forward the retained earnings was approved by a large majority.
