Dentons Baku advised on securing USD 400 millon in FDI for a desalination plant

Baku-Global law firm a cross-border Dentons team has acted as the lead legal counsel to the Ministry of Economy of the Republic of Azerbaijan and ADSEA on an agreement with ACWA Power for an investment of more than US$ 400 million for the construction of a seawater desalination plant on the Caspian Sea. This strategic infrastructure project will create opportunities to apply modern and effective solutions for the sustainable management of the country's water resources, support technology transfer, and contribute to the advancement of public-private partnerships.

Within the framework of the First Azerbaijan International Investment Forum, the landmark agreement was signed in the presence of Deputy Prime Minister of the Republic of Azerbaijan, Mr. Samir Sharifov, Minister of Economy, Mikayil Jabbarov, Chairman of ADSEA, Mr. Zaur Mikayilov, and representatives of ACWA Power, a leading global energy and water developer headquartered in Saudi Arabia.

A cross-border Dentons team advised the Ministry of Economy and ADSEA on all aspects of the transaction from the perspective of both Azerbaijani law and international best practices, with a view of enhancing the bankability of the project. The legal team drafted and negotiated all project agreements-the Public-Private Partnership Agreement, the Product Water Sales and Purchase Agreement, the Sovereign Undertaking Agreement, and the Land Lease Agreement. Azerbaijan Co-Managing Partners Ulvia Zeynalova-Bockin and Kamil Valiyev led the legal team, with the support of partner Başak Küçük and junior associate Sybren van der Velden in Amsterdam.

The initiative highlights Azerbaijan's commitment to fostering international cooperation and implementing innovative infrastructure projects that strengthen the nation's resilience and long-term development.
