EXPLANATORY NOTE
This Registration Statement is being filed pursuant to General Instruction K of Form S-4 and Rule 462(b) under the Securities Act of 1933, as amended (the "Securities Act"), for the sole purpose of registering additional shares of Common Stock, par value $0.0001 per share, of XCF Global, Inc. (the "Company") for issuance in connection with the mergers contemplated by the Business Combination Agreement, dated as of April 13, 2026 (as amended by Amendment No. 1, dated as of September 14, 2026, the "Business Combination Agreement"), by and among the Company, DevvStream Corp., an Alberta corporation ("DevvStream"), Southern Energy Renewables Inc., a Louisiana corporation ("Southern Energy"), DevvStream Merger Sub Inc., a Delaware corporation, and Southern Merger Sub Inc., a Delaware corporation.
The Company previously registered 174,595,830 shares of Common Stock on its currently effective Registration Statement on Form S-4 (Registration No. 333-296774) (the "Prior Registration Statement"). The number of shares originally registered represented the estimated maximum number of shares of Common Stock issuable in connection with the mergers based on an aggregate number of shares equal to a percentage of the aggregate number of shares of the Company issued and outstanding immediately prior to the effective time of the mergers.
The number of shares of Common Stock issuable upon the completion of the mergers is now estimated to be higher than originally anticipated due to an increase in the number of shares of Common Stock outstanding since the filing of the Prior Registration Statement, additional share issuances, conversions of outstanding convertible notes, or other adjustments. Accordingly, the Company is registering an additional 41,173,012 shares of Common Stock pursuant to Rule 462(b).
