Item 5.01 Departure of Certain Officers

On June 3, 2025, Logan Fahey Franz, Chief Executive Officer of Graze, Inc. (the "Company"), notified the Board of Directors of his intent to step down from his role as Chief Executive Officer effective immediately.

In addition, effective May 29, 2025, Don Allen Price has stepped down from his roles as Chief Financial Officer and Senior Vice President of Operations and Administration.

As publicly disclosed in prior communications, the Company has experienced a period of organizational distress in recent weeks due to the actions of an activist investor group. These events have impacted Company operations and created ongoing challenges. Mr. Franz noted that further conflict would not serve the long-term interests of the Company, its employees, customers, or shareholders.
