Item 8.01 Other Events.

As previously disclosed, on April 3, 2025, 1847 Holdings LLC (the "Company") received a notification letter from NYSE Regulation notifying the Company that it had determined to delist the Company's common shares from NYSE American as it had determined that the Company is no longer suitable for listing pursuant to Section 1003(f)(v) of the NYSE American Company Guide due to the low selling price of the Company's common shares. Under NYSE delisting procedures, the Company has a right to a review of this determination by providing a written request for such a review. The Company timely submitted a request for such a review and the hearing has been scheduled for June 5, 2025. Trading of the Company's common shares on NYSE American was suspended on April 3, 2025 and will remain suspended until the review is completed.
