EXPLANATORY NOTE
This registration statement on Form S-8 (this "Registration Statement") covers 20,000,000 shares of common stock, par value $0.0001 per share of SS Innovations International, Inc. (the "Company"), which may be offered pursuant to the Company's 2016 Incentive Stock Plan (the "Plan"), as amended.

Our Amended and Restated Articles of Incorporation, Amended and Restated Bylaws, employment agreements and non-employee director appointment letters provide for indemnification of our directors and officers to the fullest extent permitted by the Florida Business Corporation Act.
