CRITICAL ACCOUNTING POLICIES
Use of Estimates
The preparation of financial statements with accounting principles generally accepted in the United States of America requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of revenues and expenses during the reporting period. A change in managements' estimates or assumptions could have a material impact on the Company's financial condition and results of operations during the period in which such changes occurred. Actual results could differ from those estimates. The Company's financial statements reflect all adjustments that management believes are necessary for the fair presentation of their financial condition and results of operations for the periods presented.
Intangible Assets and Impairment
The Company follows the provisions of Accounting Standards Codification ("ASC") 350, "Intangibles-Goodwill and Other" and early adopted Accounting Standards Update No. 2025-06- Intangibles-Goodwill and Other-Internal-Use Software (subtopic 350-40): Targeted Improvements to the Accounting for Internal-Use Software. Definite-lived intangible assets can represent developed technology, website development costs, non-compete agreements, customer related intangible assets, patents, trademark and trade names and are amortized over their estimated useful lives, generally on a straight-line basis. Indefinite lived intangible assets can relate to domain names owned by the Company.
The Company recognizes amortization in the month after the asset is placed in service and costs incurred to renew or extend the life of an intangible asset are expensed as incurred.
Intangible assets are tested for impairment at least annually and when events or changes in circumstances indicate that, more-likely-than-not, the asset is impaired. When such events or changes in circumstances are present, the Company assesses the recoverability of intangible assets by determining whether the carrying value of such assets will be recovered through undiscounted expected future cash flows. If the total of the future cash flows is less than the carrying amount of those assets, the Company recognizes an impairment loss based on the excess of the carrying amount over the fair value of the assets. Assets to be disposed of are reported at the lower of the carrying amount or the fair value less costs to sell. Significant judgment is required in estimating fair values and performing indefinite-lived intangible asset impairment tests.
Revenue Recognition
The Company recognizes revenue in accordance with ASC 606, "Revenue from Contracts with Customer". The Company applies the following five steps in order to determine the appropriate amount of revenue to be recognized as it fulfills its obligations under each of its agreements:
Step 1: Identify the contract with a customer
Step 2: Identify the performance obligations in the contract
Step 3: Determine the transaction price
Step 4: Allocate the transaction price to the performance obligations in the contract
Step 5: Recognize revenue when (or as) the entity satisfies a performance obligation
The Company recognizes revenue as its performance obligations are satisfied in accordance with the terms of the contract. The Company generates revenue through subscription-based access to its services and API functionality, where providing access is the Company's performance obligation. Customers purchase a fixed number of requests and are generally given access to the Company's product for one-month periods. Fixed subscription fees are recognized ratably over the applicable subscription period as the related services are provided, regardless of the number of requests actually used by the customer during the subscription period. Unused requests expire at the end of the subscription period and do not carry forward. All subscription fees must be paid in full up front and are non-refundable unless expressly stated otherwise. Refunds may be considered only in limited cases, such as verified duplicate charges, demonstrable technical errors preventing access to the purchased Services, or other circumstances determined solely at the Company's discretion.

ASU 2025-06 amends the existing standard that refers to various stages of a software development project to better align with current software development methods. Under the amendment, cost capitalization begins when management has authorized and committed to funding the project, and it is probably the project will be completed and the software will be used to perform its intended function. The amendment is effective for fiscal years beginning after December 15, 2027. Early adoption is permitted and the amendment may be applied either retrospectively through a cumulative-effect adjustment, prospectively to software costs incurred after the adoption date (on existing, in-process software projects or new projects), or on a modified prospective basis. The Company has early adopted the amendment through the prospective transition approach effective August 1, 2025.
