FINAL AMENDMENT TO TENDER OFFER

This Amendment No. 1 supplements and amends the Tender Offer Statement on Schedule TO filed on January 13, 2026 with the Securities and Exchange Commission by Audax Credit BDC, Inc., an externally managed, non-diversified, closed-end management investment company that has made an election to be regulated as a business development company under the Investment Company Act of 1940, as amended, and is incorporated in Delaware (the "Company") in connection with the Company's offer to purchase up to approximately 1,800,000 shares of the Company's common stock (the "Shares") at an estimated maximum total cost to the Company of $15,000,000.00 (the "Offer"). The offer was made upon and subject to the terms and conditions set forth in the Company's Offer to Purchase dated January 13, 2026, and a related Letter of Transmittal.

The Offer terminated on February 10, 2026, at 11:59 p.m., Eastern Time (the "Expiration Date") in accordance with its terms. As of the Expiration Date, a total of 1,685,393.26 Shares were validly tendered pursuant to the Offer and not withdrawn. As of February 11, 2026, in accordance with the terms of the Offer, the Company accepted for payment 1,685,393.26 of the Shares validly tendered in the Offer and not withdrawn, for an aggregate purchase price of $15,000,000.00.
