GENERAL INFORMATION ABOUT THE SPECIAL MEETING AND VOTING

Proxy Materials

Why am I receiving these materials?

Management of the Company is using this proxy statement to solicit proxies for use at the Meeting to be held on December 2, 2026.

The following proxy materials are being posted online and being mailed out to Shareholders: (1) the proxy statement and (2) the accompanying proxy card ("Proxy Card").

As a Shareholder, you are invited to attend the Meeting and are entitled and requested to vote on the business items described in this proxy statement. This proxy statement is furnished in connection with the solicitation of proxies by or on behalf of management of the Company. This proxy statement is designed to assist you in voting your shares and includes information that we are required to provide under the rules of the U.S. Securities and Exchange Commission (the "SEC") and applicable Canadian securities laws.

These proxy materials are being sent to both registered and non-registered Shareholders. In some instances, the Company has distributed copies of the Notice, the proxy statement and the accompanying Proxy Card (collectively, the "Proxy Materials") to clearing agencies, securities dealers, banks and trust companies, or their nominees (collectively "Intermediaries", and each an "Intermediary") for onward distribution to Shareholders whose shares are held by or in the custody of those Intermediaries ("Non-registered Shareholders"). The Intermediaries are required to forward the Proxy Materials to Non-registered Shareholders.

In accordance with applicable laws, Non-registered Shareholders who have advised their Intermediary that they do not object to the Intermediary providing their ownership information to issuers whose securities they beneficially own ("NOBOs") will receive the Proxy Materials by mail.

Management of the Company intends to pay for Intermediaries to forward the Proxy Materials to Non-registered Shareholders who have advised their Intermediary that they object to the Intermediary providing their ownership information ("OBOs"). An OBO will receive the Proxy Materials through Intermediaries by mail at the cost of the Company.

Solicitation of proxies from Non-registered Shareholders will be carried out by Intermediaries. Non-registered Shareholders who have received the Proxy Materials from their Intermediary should follow the directions of their Intermediary with respect to the procedure to be followed for voting at the Meeting.

Generally, Non-registered Shareholders will either:

  • receive a Proxy Card executed by the Intermediary but otherwise uncompleted. The Non-registered Shareholder may complete the proxy and return it directly to Odyssey Trust Company ("Odyssey"); or

  • be provided with a request for voting instructions. The Intermediary is required to send the Company an executed Proxy Card completed in accordance with any voting instructions received by the Intermediary.

If you are a Non-registered Shareholder and the Company or its agent has sent these materials directly to you, your name and address and information about your holdings of securities have been obtained from your Intermediary in accordance with applicable securities regulatory requirements.

What is included in the proxy materials?

The proxy materials include:

  • our Notice of Meeting;

This solicitation of proxies is being made to Shareholders by mail but may be supplemented by telephone or other personal contact. The Company's officers and regular employees, on behalf of the Company without being additionally compensated, may solicit proxies personally and by mail, telephone, facsimile or electronic communication at nominal cost to the Company.

The Company will reimburse Intermediaries such as brokerage houses and other custodians, nominees and fiduciaries for forwarding proxy materials to Non-registered Shareholders.

You may vote "FOR", "AGAINST" or "ABSTAIN" with respect to the approval of the Preferred Share Resolution.

You may vote "FOR", "AGAINST" or "ABSTAIN" with respect to the approval of the Share Split.

You may vote "FOR", "AGAINST" or "ABSTAIN" with respect to the approval of the Adjournment Proposal.

How does the Board recommend that I vote?

The Board recommends that you vote your shares "FOR" the Preferred Share Resolution; "FOR" the Share Split; and "FOR" the Adjournment Proposal.

What is the quorum for the Meeting?

The presence, in person or by proxy, of two or more Shareholders representing at least 33⅓% of the outstanding Common Shares on October 28, 2026 (the "Record Date") entitled to be voted will constitute a quorum for the transaction of business at the Meeting. Common Shares represented by proxies marked "ABSTAIN" will be counted as present for purposes of determining whether a quorum is present. Common Shares held through a broker for which no voting instructions have been provided will be counted as present for purposes of determining whether a quorum is present. Please see "How will abstentions be treated?" and "Will shares I hold in my brokerage account be voted if I do not provide timely voting instructions?" below.

What vote is required to approve each item?

Proposal Required Vote
Approval of the Preferred Share Resolution At least two thirds of the votes cast on the proposal

What happens if additional items are presented at the Meeting?

As of the date of this proxy statement, management of the Company knows of no such amendments, variations or other matters to come before the Meeting. However, if other matters properly come before the Meeting, it is the intention of the persons named in the enclosed Proxy Card to vote such proxy according to their best judgment.

Both the Form 8-K and report on voting results will also be available on the "Investor Relations" section of our website at www.medicuspharma.com/investor-relations.

How You Can Vote

What shares can I vote?

You are entitled to vote all shares owned by you on the Record Date, including (1) shares held directly in your name as the Shareholder of record and (2) shares held for you as the beneficial owner through an Intermediary. As of the Record Date, there were [●] Shareholders of record holding [●] outstanding Common Shares.

REGISTERED SHAREHOLDERS HAVE THE RIGHT TO APPOINT A PERSON TO REPRESENT HIM, HER OR IT AT THE MEETING OTHER THAN THE PERSON(S) DESIGNATED IN THE PROXY CARD either by striking out the names of the persons designated in the Proxy Card and by inserting the name of the person or company to be appointed in the space provided in the Proxy Card or by completing another proper Proxy Card and, in either case, delivering the completed proxy to Odyssey by mail using the enclosed return envelope to Odyssey Trust Company, Attention: Proxy Department, 1100-67 Yonge Street, Toronto, Ontario, Canada M5E 1J8 by 10:00 a.m. (Eastern Time) on Monday, November 30, 2026.

What is the difference between holding shares as a Shareholder of record and as a beneficial owner?

Many of our Shareholders hold their shares through an Intermediary such as a bank, broker or other nominee rather than having the shares registered directly in their own name. Summarized below are some distinctions between shares held of record and those owned beneficially.

Shareholder of Record (Registered Shareholder)

If your shares are registered directly in your name with our transfer agent, Odyssey Trust Company, you are the Shareholder of record of the shares. As the Shareholder of record, you have the right to grant a proxy to vote your shares to representatives from the Company or to another person, or to vote your shares at the Meeting. Shareholders of record will receive paper copies of the Proxy Materials containing instructions on how to access and review proxy materials as well as directions on how to vote by proxy.

Beneficial Owner (Non-registered Shareholder)

If your shares are held through a bank, broker or other nominee, it is likely that they are registered in the name of the nominee and you are the beneficial owner of shares held in street name.

As the beneficial owner of shares held for your account, you have the right to direct the registered holder to vote your shares as you instruct, and you also are invited to attend the Meeting. Your bank, broker, plan trustee or other nominee has provided a voting instruction card, or otherwise provided voting instructions, for you to use in directing how your shares are to be voted.

How can I vote at the Meeting?

Shares held in your name as the Shareholder of record may be voted in person during the Meeting. Shares for which you are the beneficial owner may be voted in person during the Meeting if you hold a valid proxy to vote at the Meeting.

- 10 -

Even if you plan to attend the Meeting, we recommend that you also submit your proxy or voting instructions as described below, so that your vote will be counted if you later decide not to attend.

How can I vote without attending the Meeting?

Whether you hold your shares as a Shareholder of record or as a beneficial owner, you may direct how your shares are to be voted without attending the Meeting or any adjournment(s) or postponement(s) thereof. For directions on how to vote, please refer to the following instructions and those included on your proxy or voting instruction card. A proxy form will not be valid unless completed and deposited in accordance with the instructions set out in the proxy form.

If you are a Registered Shareholder and are unable to attend the Meeting, please exercise your right to vote by dating, signing and returning the form of proxy to Odyssey, the transfer agent of the Company. To be valid, completed proxy forms must be dated, completed, signed and deposited with Odyssey by mail to: Odyssey Trust Company, Attention: Proxy Department, 1100-67 Yonge Street Toronto, Ontario M5E 1J8. You may also vote through the internet by going to https://login.odysseytrust.com/pxlogin and entering the 12-digit control number found on the form of proxy. Your proxy or voting instructions must be received in each case no later than 10:00 a.m. (Eastern Time) on Monday, November 30, 2026 or 48 hours preceding the date of any adjournment or postponement (excluding Saturdays, Sundays and holidays). If you are unable to attend the Meeting, we encourage you to complete the form of proxy as soon as possible. If a Shareholder received more than one form of proxy because such holder owns Common Shares registered in different names or addresses, each form of proxy should be completed and returned.

If you are a Non-registered Shareholder, you may vote by submitting voting instructions to the registered owner of your shares in accordance with the instructions on your voting instruction card.

The chair of the Meeting shall have the discretion to waive or extend the proxy deadline without notice.

How will my shares be voted?

Shares represented by properly executed proxies in favor of persons designated in the printed portion of the enclosed Proxy Card WILL, UNLESS OTHERWISE INDICATED, BE VOTED FOR THE APPROVAL OF THE PREFERRED SHARE RESOLUTION; FOR THE APPROVAL OF THE SHARE SPLIT; AND FOR THE APPROVAL OF THE ADJOURNMENT PROPOSAL. The shares represented by the Proxy Card will be voted in accordance with the instructions of the Shareholder on any ballot that may be called for and, if the Shareholder specifies a choice with respect to any matter to be acted upon, the shares will be voted accordingly. The enclosed Proxy Card confers discretionary authority on the persons named therein with respect to amendments or variations to matters identified in the Notice or other matters which may properly come before the Meeting. As of the date of this proxy statement, management of the Company knows of no such amendments, variations or other matters to come before the Meeting. However, if other matters properly come before the Meeting, it is the intention of the persons named in the enclosed Proxy Card to vote such proxy according to their best judgment.

How will abstentions be treated?

For purposes of establishing a quorum, we will count as present shares that a Shareholder holds even if the Shareholder votes to abstain or only votes on one of the proposals. Abstentions will have no effect on Proposal 1, Proposal 2 or Proposal 3.

Will shares I hold in my brokerage account be voted if I do not provide timely voting instructions?

If your shares are held through a brokerage firm, they will be voted as you instruct on the voting instruction card provided by your broker. If you sign and return your card without giving specific instructions, your shares will be voted in accordance with the recommendations of the Board.

If you do not return your voting instruction card on a timely basis, your broker will have the authority to vote your brokerage shares on matters that are considered "routine" - at the Meeting, the only "routine" proposal presented is to approve the Adjournment Proposal. Your broker will be prohibited from voting your shares without your instructions on the other "non-routine" matters: the Preferred Share Resolution and the Share Split. In such case, these "broker non-votes" will be counted only for the purpose of determining whether a quorum is present at the Meeting and not as votes cast. Such broker non-votes will have no effect on the outcome of the Preferred Share Resolution or the Share Split.

- 11 -

Will shares that I own as a Shareholder of record be voted if I do not return my Proxy Card on a timely basis?

Shares that you own as a Shareholder of record will be voted as you instruct on your Proxy Card. If you sign and return your Proxy Card without giving specific instructions, they will be voted in accordance with the procedure set out above under the heading "How will my shares be voted?"

If you do not return your Proxy Card on a timely basis, your shares will not be voted unless you or your proxy holder attends the Meeting or any adjournment(s) or postponement(s) thereof and submits your votes during the Meeting as described above under the heading "How can I vote at the Meeting?"

When is the deadline to vote?

If you hold shares as the Shareholder of record, your vote by proxy must be received before 10:00 a.m. (Eastern Time) on Monday, November 30, 2026, or, if the Meeting is adjourned, at least 48 hours (excluding Saturdays, Sundays and statutory holidays in the Province of Ontario) prior to any adjournment(s) or postponement(s) of the Meeting, or must be deposited at the Meeting with the chair of the Meeting before the commencement of the Meeting or any adjournment(s) or postponement(s) thereof.

If you hold shares as a beneficial owner, please follow the voting instructions provided by your Intermediary.

The Company may refuse to recognize any instrument of proxy received later than the proxy deadline indicated above.

May I change or revoke my vote?

A Shareholder who has given a proxy has the power to revoke it at any time prior to the exercise thereof. In addition to revocation in any other manner permitted by law, a proxy may be revoked by:

(a) signing a proxy with a later date and delivering it to the place noted above prior to the proxy deadline;

(b) signing and dating a written notice of revocation and delivering it to Odyssey, or by transmitting a revocation by telephonic or electronic means, to Odyssey, at any time up to and including the last business day preceding the day of the Meeting, or any adjournment of it, at which the proxy is to be used, or delivering a written notice of revocation and delivering it to the chair of the Meeting prior to the commencement of the Meeting or any adjournment or postponement thereof; or

(c) attending the Meeting or any adjournment or postponement of the Meeting and registering with the scrutineer as a Shareholder present.

Whom do I contact if I have questions regarding Voting or the Meeting?

Shareholder Proposals and Director Nominations for 2027 Annual General Meeting

How can I make a shareholder proposal for the 2027 Annual General Meeting?

If you want to propose a matter for consideration at the annual general meeting of Shareholders to be held in 2027 (the "2027 Annual General Meeting"), then that proposal must be received at our registered office at Suite 3400, One First Canadian Place, Toronto, Ontario, Canada M5X 1A4 by the deadline to submit a shareholder proposal below under "What is the deadline to submit shareholder proposals to be included in the proxy materials for next year's annual meeting?"

What is the deadline to submit shareholder proposals to be included in the proxy materials for next year's annual meeting?

The Company is subject to both the rules of the SEC under the Securities Exchange Act of 1934, as amended (the "Exchange Act"), and the provisions of the Business Corporations Act (Ontario) ("OBCA") with respect to shareholder proposals. As indicated in the rules of the SEC under the Exchange Act and under the OBCA, simply submitting a shareholder proposal does not guarantee its inclusion in the proxy materials.

We will consider any such proposal for inclusion in our proxy statement and form of proxy relating to our 2027 Annual General Meeting only if the proposal is submitted in accordance with the procedures prescribed in Rule 14a-8 under the Exchange Act and the requirements of section 99 of the OBCA and the regulations thereunder and our Corporate Secretary receives the proposal no later than January 13, 2027, unless the date of the 2027 Annual General Meeting is changed by more than 30 days from the anniversary of our annual meeting of Shareholders, in which case the deadline for such proposals will be a reasonable time before we begin to print and send our proxy materials, and the proposal complies with the requirements as to form and substance established by the SEC for such proposals in order to be included in the proxy statement.

Proposals that are not submitted on a timely basis or are submitted to the incorrect address or other than to the attention of our Corporate Secretary may, at our discretion, be excluded from our proxy materials.

See below under the heading "How may I nominate director candidates or present other business for consideration at a meeting?" for a description of the procedures through which Shareholders may nominate director candidates for consideration.

How may I nominate director candidates or present other business for consideration at a meeting?

Shareholders who wish to (1) submit director nominees for consideration ("Nominating Shareholders"), or (2) present other items of business directly at next year's annual meeting must give written notice of their intention to do so, in accordance with the deadlines described below, to our Corporate Secretary at the address set forth below under the heading "How do I obtain additional copies of this proxy statement or voting materials?" Any such notice also must include the information required by the Articles (which may be obtained as provided below under the heading "How may I obtain financial and other information about Medicus?") and must be updated and supplemented as provided in the Articles.

Shareholders who wish to present a proposal (other than a director nomination which is further described below) directly at the 2027 Annual General Meeting, without inclusion of the proposal in our proxy materials, must provide written notice of the proposal to our Corporate Secretary no later than March 29, 2027.

Subject to compliance with the Company's By-Law No. 2 - Advance Notice By-Law (the "Advance Notice By-Law"), written notice of director nominees must be made to the Corporate Secretary of the Company not less than 30 nor more than 60 days prior to the date of the annual meeting of Shareholders, provided, however, that in the event that the meeting is to be held on a date that is less than 50 days after the date (the "Notice Date") on which the first public announcement of the date of the meeting was made, notice by the Nominating Shareholder may be made not later than the close of business on the 10th day following such Notice Date. Any adjournment or postponement of the annual meeting of Shareholders or announcement thereof does not commence a new time period for the giving of a Nominating Shareholder's notice.

- 13 -

OVERVIEW OF PROPOSALS TO BE VOTED ON

Proposals 1, 2 and 3 are included in this proxy statement at the discretion of the Board. The Board unanimously recommends that you vote "FOR" the approval of the Preferred Share Resolution in Proposal 1, "FOR" the approval of the Share Split in Proposal 2 and "FOR" the approval of the Adjournment Proposal in Proposal 3.

PROPOSAL 1 - APPROVAL OF PREFERRED SHARE RESOLUTION

The Preferred Share Resolution is included in this proxy statement at the direction of the Board. The Board unanimously recommends that you vote "FOR" the approval of the Preferred Share Resolution.

The Company proposes that the Shareholders approve a special resolution ("Preferred Share Resolution") to authorize an amendment to the articles of the Company to create a new class of an unlimited number of "blank cheque" preferred shares of the Company (the "Class A Preferred Shares"), to be named Class A preferred shares, each of which may be issued in one or more series.

The Board will be empowered to fix the number of shares in each series of the Class A Preferred Shares and to fix the preferences, special rights and restrictions, privileges, conditions and limitations attaching to the shares of that series, before the issuance of shares of any particular series as set out in Schedule "A" to this proxy statement. The Board will have authority to fix, amongst other things, the number of shares constituting any such series, the voting powers, designation, preferences and relative participation, optional or other special rights and qualifications, limitations or restrictions thereof, including the dividend rights and dividend rate, terms of redemption (including sinking fund provisions), redemption price or prices, conversion rights and liquidation preferences of the shares constituting any series, without any further vote or action by the shareholders of the Company.

Background and Reason for the Creation of Class A Preferred Shares

The Board believes that the creation of the Class A Preferred Shares will enhance the ability of the Company to secure financings in the future by enabling the Board to react quickly to market conditions and other factors and create and issue a series of shares that will meet the requirements of equity investors without the time and expense involved in calling a special meeting of the Shareholders of the Company.

The Board is of the opinion that establishing a class of "blank cheque" preferred shares will provide maximum flexibility with respect to future acquisitions and financing transactions. The Board does not presently have the intent to issue Class A Preferred Shares. However, a "blank cheque" preferred share is commonly authorized by publicly traded companies and is frequently used as a means of raising capital and effecting acquisitions. In particular, in recent years, smaller companies have been required to utilize senior classes of securities to raise capital, with the terms of those securities being highly negotiated and tailored to meet the needs of both investors and the issuing companies. Such senior securities typically include liquidation and dividend preferences, voting rights, conversion privileges and other rights not found in common shares. The Board presently lacks the authority to issue shares that are bespoke and highly tailored for the needs of specific investors and the Company. Accordingly, the Company has primarily raised capital through common shares or debt securities. By authorizing a class of "blank cheque" preferred shares, the Board will have greater flexibility in structuring transactions. In addition, we may issue Class A Preferred Shares in connection with such activities as dividends payable in shares of the Company, acquisitions of other companies or businesses, and otherwise.

- 16 -

Principal Effects of Preferred Share Resolution and Potential Anti-Takeover Effect

The issuance of Class A Preferred Shares could affect the rights of the holders of Common Shares. For example, such issuance could result in one or more classes and series of securities outstanding that would have preferential voting, dividend, and liquidation rights over the Common Shares, and could enjoy all of the rights appurtenant to the Common Shares. The authority possessed by the Board to issue Class A Preferred Shares could potentially be used to discourage attempts by others to obtain control of the Company through merger, take-over bid offer, proxy contest or otherwise by making such attempts more difficult or costly to achieve. While the Company has no present intention to issue Class A Preferred Shares in a manner which would have an anti-takeover effect or otherwise, the issuance of such shares could have certain other anti-takeover effects under certain circumstances. Since the voting rights to be accorded to any series of Class A Preferred Shares remain to be fixed by the Board, the holders of Class A Preferred Shares may be authorized by the Board to vote separately as a class or series in connection with approval of certain extraordinary corporate transactions or be given a large number of votes per share. Class A Preferred Shares could also be convertible into a large number of Common Shares under certain circumstances which could lead to dilution of the share ownership of a person seeking to effect a change in the composition of the Board or contemplating a tender offer or other transaction resulting in our acquisition by another company, or have other terms which might render the acquisition of a controlling interest in us more difficult or more costly. Subject to the Company's articles and by-laws and applicable law, Class A Preferred Shares could also be privately placed with purchasers who might side with the management of the Company in opposing a hostile tender offer or other attempt to obtain control.

The Preferred Share Resolution is not in response to any effort by any person or group to accumulate our Common Shares or to obtain control of us by any means. In addition, the proposal is not part of any plan by our Board to recommend or implement a series of anti-takeover measures.

Pursuant to applicable corporate legislation no special rights or restrictions attached to a series of a particular class of Class A Preferred Shares shall confer on that series priority over any other series of that same class of preferred shares in respect of: (a) dividends, or (b) a return of capital in the event of the liquidation, dissolution or winding up of the Company.

No Rights of Shareholder to Dissent

Under the OBCA, Shareholders do not have dissent and appraisal rights with respect to the proposed authorization of the issuance of "blank cheque" preferred shares.

Implementation

The Preferred Share Resolution, as set out below, provides that the Board is authorized, in its sole discretion, to determine not to proceed with the proposed creation of the Class A Preferred Shares without further approval of the Shareholders of the Company. The Board is authorized to revoke the Preferred Share Resolution, in its sole discretion without further approval of the Shareholders of the Company at any time prior to implementation of the Preferred Share Resolution.

Shareholder Approval

In order to effect the creation of the Class A Preferred Shares, the Company will file articles of amendment pursuant to the OBCA to amend its current articles (the "Preferred Share Articles of Amendment"). Such Preferred Share Articles of Amendment shall only be filed upon the Board deciding, in its sole discretion, to proceed with the creation of Class A Preferred Shares.

In accordance with the OBCA, the Preferred Share Resolution must be approved by not less than two thirds of the votes cast by the Shareholders represented at the Meeting in person or by proxy.

- 17 -

At the Meeting, Shareholders will be asked to consider and, if deemed advisable, to approve and authorize the Preferred Share Resolution, as follows:

BE IT RESOLVED, AS A SPECIAL RESOLUTION, THAT:

(i) The articles of the Company (the "Articles") be amended and the Company is authorized to file articles of amendment pursuant to the Business Corporations Act (Ontario) to create a class of an unlimited number of "blank cheque" preferred shares in the capital of the Company, issuable in series, with such rights, privileges, restrictions and conditions substantially in the form as set out on Schedule "A" hereto;

(ii) any one officer or director of the Company is authorized to do all acts and to execute and deliver all documents or instruments desirable to give effect to the foregoing, including, without limitation, articles of amendment in the form required pursuant to the Business Corporations Act (Ontario);

(iii) notwithstanding approval of the Shareholders of the Company as herein provided, the Board may, in its sole discretion, revoke this resolution before it is acted upon without further approval of the Shareholders of the Company.

The Board has determined that the creation of Class A Preferred Shares is in the best interests of the Company and unanimously recommends that Shareholders vote FOR the Preferred Share Resolution. Unless otherwise instructed, the persons named in the accompanying Proxy Card (provided the same is duly executed in their favour and is duly deposited) intend to vote FOR the Preferred Share Resolution and to approve the creation of "blank cheque" preferred shares as detailed above.

Effective Date

Subject to applicable regulatory requirements, the Preferred Share Resolution will be effective on the date on which the Preferred Share Articles of Amendment are filed and certified by the Ministry of Public and Business Service Delivery (Ontario), on which the directors of the Company determine to carry out the creation of Class A Preferred Shares.

If the Preferred Share Resolution is approved, no further action on the part of the Shareholders will be required in order for the Board to create the new class of Class A Preferred Shares or to issue a new series thereunder.

THE BOARD UNANIMOUSLY RECOMMENDS THAT YOU VOTE "FOR" THE PREFERRED SHARE RESOLUTION IN PROPOSAL 1.

PROPOSAL 2 - APPROVAL OF SHARE SPLIT

The Company proposes that the Shareholders approve a special resolution to authorize the Board, in its discretion, to effect a split of the Common Shares on the basis of a split ratio to be determined by the Board, up to a maximum ratio of one (1) pre-split Common Share for every fifty (50) post-split Common Shares (the "Share Split").

Background and Reason for the Share Split Proposal; Certain Risks Associated with the Share Split

On October 12, 2026, the Company effected a fifty-to-one consolidation of its Common Shares (the "Share Consolidation"), as approved by Shareholders at the Company's June 3, 2026 annual and special meeting, in order to increase the bid price of the Common Shares and regain compliance with the minimum bid price requirement of The Nasdaq Capital Market. The Board is now asking Shareholders to authorize, but not require, a split of the Common Shares at a ratio of up to 50 post-split shares for each pre-split share, which, if implemented at the maximum ratio, would substantially reverse the Share Consolidation.

The Board believes the Share Split may benefit the Company and its Shareholders primarily because (a) following the Share Consolidation, only 1,891,826 Common Shares were outstanding as of October 16, 2026, and the Board believes a larger number of outstanding shares may support broader trading and improved liquidity, and (b) a larger share count would give the Board greater flexibility in pricing and structuring future financings, equity awards and strategic transactions. There can be no assurance that the Share Split will have any of these effects.

- 18 -

There can be no assurance that the total market capitalization of the Company (the aggregate value of all Common Shares at the market price then in effect) immediately after the Share Split will be equal to or greater than the total market capitalization immediately before the Share Split. In addition, because the Share Split would proportionately reduce the per-share trading price, a Share Split at or near the maximum ratio could cause the bid price of the Common Shares to fall below the $1.00 minimum bid price required for continued listing on The Nasdaq Capital Market. The Board does not intend to implement the Share Split at a ratio that it expects would cause the trading price of the Common Shares to fall below $1.00.

Effect of Share Split

If approved and implemented, the Share Split will occur for all of the Company's issued and outstanding Common Shares. The implementation of the Share Split would not affect the total Shareholders' equity of the Company or any components of Shareholders' equity as reflected on the Company's financial statements except to change the number of issued and outstanding Common Shares to reflect the Share Split.

Effect on Convertible Securities

The exercise or conversion price and/or the number of Common Shares issuable under any outstanding convertible securities, including under outstanding options, warrants, rights, and any other similar securities will be proportionately adjusted upon the implementation of the Share Split, in accordance with the terms of such securities, on the same basis as the Share Split.

Tax Considerations

SHAREHOLDERS SHOULD CONSULT THEIR TAX ADVISORS REGARDING THE TAX CONSEQUENCES OF THE SHARE SPLIT TO THEM, INCLUDING THE EFFECTS OF ANY CANADIAN OR U.S. FEDERAL, PROVINCIAL, STATE, LOCAL, FOREIGN AND/OR OTHER TAX LAWS.

Implementation

The Share Split resolution (the "Share Split Resolution"), as set out below, provides that the Board is authorized, in its sole discretion, to determine not to proceed with the proposed Share Split without further approval of the Shareholders of the Company. The Board is authorized to revoke the Share Split Resolution, in its sole discretion without further approval of the Shareholders of the Company at any time prior to implementation of the Share Split.

Shareholder Approval

In order to effect the Share Split, the Company will file articles of amendment pursuant to the OBCA to amend its then current articles (the "Share Split Articles of Amendment"). Such Share Split Articles of Amendment shall only be filed upon the Board deciding, in its sole discretion, to proceed with the Share Split. The Share Split will become effective on the date shown in the certificate of amendment issued pursuant to the OBCA.

In accordance with the OBCA, the Share Split Resolution must be approved by not less than two thirds of the votes cast by the Shareholders represented at the Meeting in person or by proxy.

At the Meeting, Shareholders will be asked to consider and, if deemed advisable, to approve and authorize the Share Split Resolution, as follows:

BE IT RESOLVED, AS A SPECIAL RESOLUTION, THAT:

- 19 -

(i) the Company is authorized to file articles of amendment pursuant to the Business Corporations Act (Ontario) to take such actions as are necessary to effect a split (the "Share Split") of all of the issued and outstanding common shares of the Company (the "Common Shares") on the basis of a split ratio to be determined by the Board, up to a maximum ratio of one (1) pre-split Common Share for every fifty (50) post-split Common Shares (the "Maximum Ratio") if the Board determines it is necessary or desirable to do so;

(ii) the Board be and is hereby authorized in its sole discretion to fix the split ratio, to be used in the Share Split, up to the Maximum Ratio;

(iii) in the event that the Share Split would otherwise result in the issuance of a fractional Common Share, no fractional Common Share shall be issued and such fraction will be rounded down to the nearest whole number or will otherwise be dealt with as determined by the Board in its sole discretion;

(iv) the Board, in its sole discretion, may act upon this resolution to effect the Share Split, or, if deemed appropriate and without any further approval from the shareholders of the Company, may approve of the Share Split, and it is authorized to revoke this special resolution in its sole discretion at any time prior to effecting the Share Split;

(v) any officer or director of the Company is authorized to cancel (or cause to be cancelled) any certificates evidencing the existing Common Shares and to issue (or cause to be issued) certificates representing the new Common Shares to the holders thereof; and

(vi) any one officer or director of the Company is authorized to do all acts and to execute and deliver all documents or instruments desirable to give effect to the foregoing, including, without limitation, articles of amendment in the form required pursuant to the Business Corporations Act (Ontario).

The Board has determined that the Share Split is in the best interests of the Company and unanimously recommends that Shareholders vote FOR the Share Split Resolution. Unless otherwise instructed, the persons named in the accompanying Proxy Card (provided the same is duly executed in their favour and is duly deposited) intend to vote FOR the Share Split Resolution and to approve the Share Split as detailed above.

Effective Date

Subject to applicable regulatory requirements, the Share Split Resolution will be effective on the date on which the Share Split Articles of Amendment are filed and certified by the Ministry of Public and Business Service Delivery (Ontario), on which the directors of the Company determine to carry out the Share Split.

If the Share Split Resolution is approved, no further action on the part of the Shareholders will be required in order for the Board to implement the Share Split.

THE BOARD UNANIMOUSLY RECOMMENDS THAT YOU VOTE "FOR" THE SHARE SPLIT RESOLUTION IN PROPOSAL 2.

PROPOSAL 3 - APPROVAL OF ADJOURNMENT PROPOSAL

In the event there are not sufficient votes at the Meeting in favour of the Preferred Share Resolution or the Share Split Resolution and either proposal is not approved by the Shareholders, the Board has approved the submission to Shareholders of a proposal to approve the adjournment of the Meeting by the Chairman to a later date no later than December 31, 2026 at 10:00 a.m. (Eastern Time) (the "Adjournment Proposal"). In order to permit proxies that have been timely received to be voted for such adjournment, we are submitting this Adjournment Proposal as a separate matter for your consideration. If it is necessary to adjourn the Meeting, the adjournment is for a period of less than 30 days and the Record Date remains unchanged, no notice of the time and place of the reconvened meeting will be given to Shareholders, other than an announcement made at the Meeting. The Company shall provide updated instructions to attend such adjournment as necessary.

- 20 -

The approval of the Adjournment Proposal requires a majority of the votes cast. Abstentions will have no effect on the Adjournment Proposal. As the Adjournment Proposal is considered a "routine" matter, your broker will have the authority to vote your brokerage shares on the Adjournment Proposal in the event of a "broker non-vote".

THE BOARD UNANIMOUSLY RECOMMENDS THAT YOU VOTE "FOR" THE ADJOURNMENT PROPOSAL IN PROPOSAL 3.

SECURITY OWNERSHIP OF CERTAIN BENEFICIAL OWNERS AND MANAGEMENT

The following table sets forth information regarding the beneficial ownership of our Common Shares as of October 16, 2026 by:

  • each person known by us to be the beneficial owner of more than 5% of our outstanding Common Shares;

  • each of our executive officers and directors; and

  • all our executive officers and directors as a group.

The number of shares beneficially owned by each shareholder is determined under rules issued by the SEC. Under these rules, beneficial ownership includes any shares as to which a person has sole or shared voting power or investment power. Applicable percentage ownership is based on 1,891,826 Common Shares outstanding as of October 16, 2026. In computing the number of shares beneficially owned by a person and the percentage ownership of that person, Common Shares subject to options, warrants, or other rights held by such person that are currently exercisable or will become exercisable within 60 days of October 16, 2026 are considered outstanding, although these shares are not considered outstanding for purposes of computing the percentage ownership of any other person.

Unless otherwise indicated, we believe that all persons named in the table have sole voting and investment power with respect to all Common Shares beneficially owned by them.
