Explanatory Note
This Current Report on Form 8-K/A (this "Amendment") amends the Current Report on Form 8-K filed by First Watch Restaurant Group, Inc. (the "Company") with the Securities and Exchange Commission on May 21, 2026 (the "Original Form 8-K"). The Original Form 8-K reported the final voting results of the Company's 2026 Annual Meeting of Stockholders held on May 20, 2026 (the "2026 Annual Meeting"). The sole purpose of this Amendment is to disclose, in accordance with Item 5.07(d) of Form 8-K, the Company's decision regarding how frequently it will conduct future stockholder advisory votes to approve the compensation of the Company's named executive officers ("say on pay"). No other changes have been made to the Original Form 8-K.
Item 5.07 - Submission of Matters to a Vote of Security Holders.
As previously reported in the Original Form 8-K, in a non-binding advisory vote by the Company's stockholders on the frequency of future say on pay votes held at the 2026 Annual Meeting, 46,337,934 shares voted for every one year, 28,283 shares voted for every two years, 2,681,394 shares voted for every three years, 58,825 shares abstained and there were 9,564,764 broker non-votes. The Company's Board of Directors (the "Board") has considered the outcome of this advisory vote and has determined, consistent with the recommendation by the Board as set forth in the proxy statement for the 2026 Annual Meeting, that the Company will hold future say on pay votes on an annual basis until the occurrence of the next advisory vote on the frequency of say on pay votes or until the Board otherwise determines a different frequency of say on pay votes. The next advisory vote regarding the frequency of say on pay votes is required to occur no later than the Company's 2032 Annual Meeting of Stockholders.
