Willkie represented Dorchester Minerals, L.P. (NASDAQ: DMLP) in its agreement to acquire mineral and royalty interests totaling approximately 4,300 net royalty acres in McKenzie, Dunn, and Williams Counties, North Dakota, in the Williston Basin, in exchange for 1,250,000 newly issued common units.
The transaction is structured as a contribution and exchange intended to qualify as tax-deferred under Section 721, with the units issued under Dorchester's effective Form S-4 shelf registration.
Dorchester Minerals, L.P. is a Dallas-based owner of producing and non-producing oil and natural gas mineral, royalty, overriding royalty, and net profits interests located in 28 states.
The Willkie team was led by partners Jesse Betts, Tan Lu, Nathan Meredith and Jessica Hammons with associates Avery Steen and Zan Khan.
