Item 15 Additional Information
Item 15(c) is hereby amended and supplemented as follows:
On October 19, 2026, at 9:00 a.m. (Taiwan time), an extraordinary general meeting of the shareholders of the Company was held at the principal office of the Company located at 14F, No. 98 Minquan Road, Xindian District, New Taipei City 231, Taiwan. At the extraordinary general meeting, the shareholders of the Company authorized and approved the Merger Agreement, the Plan of Merger and the Transactions, including the Merger and, upon the Merger becoming effective, the Variation of Capital and the Amendment of the M&A, and authorized each of the directors and officers of the Company to do all things necessary to give effect to the Merger Agreement, the Plan of Merger and the Transactions, including the Merger, the Variation of Capital and the Amendment of the M&A.
On October 22, 2026, the Company and Merger Sub filed the Plan of Merger with the Registrar of Companies of the Cayman Islands. The Plan of Merger was registered by the Registrar of Companies of the Cayman Islands on October 23, 2026, and the Merger became effective at 8:00 a.m. (New York time) on October 23, 2026. As a result of the Merger, the Company became a privately held company beneficially owned by the Continuing Shareholders.
At the effective time of the Merger (the "Effective Time"), each Class A Share and each Class B Share (other than the Continuing Shares (as defined below), the Excluded Shares (as defined below) and the Dissenting Shares (as defined below)) issued and outstanding immediately prior to the Effective Time was cancelled and ceased to exist in exchange for the right to receive US$2.00 in cash per Share without interest and net of any applicable withholding taxes (the "Per Share Merger Consideration"), except for: (i) Shares owned by holders who had validly exercised and not effectively withdrawn or lost their rights to dissent from the Merger pursuant to Section 238 of the Companies Act (As Revised) of the Cayman Islands (the "Cayman Islands Companies Act") (the "Dissenting Shares"), which were cancelled and ceased to exist in exchange for the right to receive the payment of fair value of such Dissenting Shares determined in accordance with Section 238 of the Cayman Islands Companies Act, (ii) Shares held by the Continuing Shareholders (the "Continuing Shares"), which were not cancelled and remain outstanding and continue to exist without interruption as the same number of validly issued, fully paid and non-assessable ordinary shares, par value US$0.10 per share, of the Surviving Company and the Continuing Shareholders did not receive any payment of consideration therefor, and (iii) any Shares held by the Company or any direct or indirect subsidiary of the Company (the "Excluded Shares"). No Excluded Shares were issued and outstanding immediately prior to the Effective Time.
At the Effective Time, each warrant to purchase Shares outstanding immediately prior to the Effective Time (each, a "Company Warrant" and collectively, the "Company Warrants"), in accordance with its terms and automatically and without any required action on the part of the holder thereof or any other person, ceased to represent a Company Warrant exercisable for a Class A Share of the Company and became a Company Warrant exercisable for the Per Share Merger Consideration. If a Registered Holder (as defined in the warrant agreement governing the Company Warrants (the "Warrant Agreement")) properly exercises a Company Warrant during the 30-day period following the public disclosure of the consummation of the Merger pursuant to the Company's current report on Form 6-K furnished to the SEC on October 23, 2026, the warrant price under the Warrant Agreement with respect to such exercise will be temporarily reduced to US$1.999647 per Company Warrant, which is equal to the Per Share Merger Consideration of US$2.00 minus the Black-Scholes Warrant Value (as defined in the Warrant Agreement) of US$0.000353 per Company Warrant. The reduced warrant price will apply from October 23, 2026 through November 23, 2026 (New York time).
In addition, at the Effective Time, the Company (i) terminated the Company's stock compensation plan adopted by the Board on December 13, 2021 (the "Stock Compensation Plan"), the director equity incentive plan adopted by the Board on October 23, 2023 (the "Director Equity Incentive Plan"), and all amendments and modifications to the Stock Compensation Plan and the Director Equity Incentive Plan (collectively, the "Share Incentive Plans" and any one of the foregoing plans, the "Share Incentive Plan"); and (ii) canceled each option to purchase Shares under the Share Incentive Plans (the "Company Option") that was then outstanding and unexercised, whether or not vested or exercisable. As soon as practicable after the Effective Time, each former holder of a Company Option that was cancelled at the Effective Time (whether vested or

unvested) will, in exchange thereof, be paid by the Surviving Company or one of its subsidiaries, a cash amount equal to the product of (x) the excess, if any, of the Per Share Merger Consideration over the applicable exercise price per Share underlying such Company Option (the "Exercise Price") and (y) the number of Shares underlying such Company Option; provided that if the Exercise Price of any such Company Option was equal to or greater than the Per Share Merger Consideration, such Company Option was cancelled without any payment therefor.
As a result of the Merger, trading in the Class A Shares on the New York Stock Exchange (the "NYSE") was suspended before the market opened on October 23, 2026. The Company has requested the NYSE to file an application on Form 25 with the SEC to remove the Class A Shares from listing on the NYSE and withdraw registration of the Class A Shares under section 12(b) of the Exchange Act. The delisting will become effective 10 calendar days after the filing of Form 25, and the deregistration under section 12(b) of the Exchange Act will become effective 90 calendar days after such filing or such shorter period as may be determined by the SEC. In addition, subject to satisfaction of the applicable requirements, the Company intends to file a certification and notice on Form 15 with the SEC as promptly as practicable after the delisting becomes effective to terminate registration under section 12(g) of the Exchange Act and suspend its reporting obligations under sections 13(a) and 15(d) of the Exchange Act.
