SUBJECT: An Important Update from ARRAY
Dear [NAME],
I'm excited to share that today, ARRAY Technologies announced that we have entered into a definitive agreement to combine with Shoals Technologies Group, Inc. in a stock-for-stock merger, bringing together two industry leaders to create an integrated energy infrastructure platform. You can find the joint press release here.
You may already be familiar with Shoals or even work with them today. Shoals is a leading provider of solar electrical infrastructure and power delivery systems, with growing capabilities in battery energy storage and data centers. By bringing together our market-leading, complementary solutions across foundations, trackers, fixed-tilt racking, electrical infrastructure, wire management and power delivery systems, we believe the combined company will be positioned to better serve customers across the solar value chain, data center markets and beyond. Upon completion of the transaction, Brandon Moss, CEO of Shoals, will lead the combined company. To ensure a smooth transition, I will serve as Special Advisor.
For our customers, this combination is about making projects simpler and more efficient, while providing more flexibility and packaging choice. Together, we expect to deliver more integrated and interoperable solutions that reduce installation costs, streamline project execution and lower long-term maintenance requirements through increasing levels of product integration over time. We also expect to draw on our decades of technical and operating experience to accelerate innovation and enhance product performance.
Until the transaction closes, ARRAY and Shoals will continue to operate as separate companies. Importantly, today's announcement does not change your existing contracts, points of contact or day-to-day operations. We remain fully committed to delivering the high-quality products and services you have come to expect from us.
We look forward to sharing more information as the transaction progresses. In the meantime, please don't hesitate to reach out to your ARRAY representative with any questions.
Thank you for your continued trust and collaboration. We are excited about the opportunities ahead and look forward to building on our relationship as we begin this next chapter.
| Sincerely, |
| /s/ Kevin Hostetler |
