Willkie represented Revolution Resources III, LLC and its affiliates, Revolution III ABS Holdings, LLC and Revolution III ABS 2026-1, LLC, in the private placement of $72 million of asset-backed notes issued by Revolution III ABS 2026-1, LLC. The ABS issuance facilitates Willkie's prior work on Revolution III's previously announced acquisition of Amplify Energy's Oklahoma oil and gas assets. Revolution III is a portfolio company of Mountain Capital Management, LLC.
Funds and accounts managed by J.P. Morgan Asset Management purchased the notes. UMB Bank, N.A. served as Indenture Trustee. Legado Capital Advisors advised Revolution in connection with the transaction.
The Willkie team was led by partners Brad Honeycutt, Adam True, and Tan Lu, with counsel Emerson W. Girardeau, III and associate Benjamin Hubeny.
