Peter Bogdanow Discusses Recent Deal Activity with The Texas Lawbook

Peter Bogdanow, a Private Equity and Mergers & Acquisitions partner in Katten's Dallas office, sat down with The Texas Lawbook to discuss his career trajectory, recent deals and overall market activity. Peter discussed recent transactions, including the acquisition of the iconic Tapatio hot sauce brand by Highlander Partners and Processa Pharmaceuticals' acquisition of Vidya Therapeutics, which also included a private placement financing by Processa.

Turning to the broader market, Peter pointed to the creative capital structures sponsors are drawing on, such as preferred and junior capital and continuation funds. He observed that funds tend to favor add-on acquisitions over new platforms. On industry performance, Peter noted that the service sector appears relatively insulated from tariffs and volatility, while goods- and oil-dependent businesses and software valuations face more pressure. He also flagged artificial intelligence (AI) and cybersecurity as the diligence issues increasingly shaping deals.

Through all this activity, Peter remained optimistic about Texas, where inflows of private equity funds, family offices and institutional players are strengthening an already healthy market. "Just looking out my window, I can see all the buildings going up, and … the TXSE ticker! There's a lot of growth here and that's certainly good for a dealmaking environment," Peter said.
