Clifford Chance advises Enagás, NaTran, Teréga and OGE on establishing a joint venture for the BarMar Project of Common Interest, a cross-border renewable hydrogen sub-sea pipeline initiative

The transmission system operators Enagás (Spain) - through its affiliate Enagás Infraestructuras de Hidrógeno (EIH) -, NaTran and Teréga (France) have taken a major step forward in the context of the H2med project with the signing of a shareholders' agreement.

This agreement establishes the creation of a joint venture dedicated to the development of the BarMar Project of Common Interest (PCI), the cross-border renewable hydrogen sub-sea pipeline that will connect Barcelona, Spain, to Marseille, France - a key part of the H2med project, alongside the CelZa project.

This is the world's first joint venture dedicated to a cross-border infrastructure for transporting renewable hydrogen via a subsea pipeline.

The new company, which will be based in the South of France, in Région Provence-Alpes-Côte d'Azur, defines the project's governance structure. The shareholding is distributed as follows: EIH-Enagás with 50%, NaTran with 33.3%, and Teréga with 16.7%.

This pivotal milestone has been announced eight days after European support was reconfirmed during a high-level meeting between the leaders of the five companies involved in the H2med project and the Executive Vice-President of the European Commission, Ms. Teresa Ribera, who oversees the Green, Just and Competitive Transition.

Les gestionnaires de réseaux de transport Enagás (Espagne) - via sa filiale Enagás Infraestructuras de Hidrógeno (EIH) -, NaTran et Teréga (France) ont franchi une étape majeure dans le cadre du projet H2med avec la signature d'un pacte d'actionnaires.

Cet accord établit la création d'une coentreprise dédiée au développement du Projet d'Intérêt Commun (PIC) BarMar, la canalisation sous-marine internationale d'hydrogène renouvelable qui reliera Barcelone, en Espagne, à Marseille, en France - un élément clé du projet H2med, aux côtés du projet CelZa.

Il s'agit de la première coentreprise au monde dédiée à une infrastructure transfrontalière de transport d'hydrogène renouvelable par canalisation sous-marine.

La nouvelle société BarMar, qui sera basée en Région Provence-Alpes-Côte d'Azur, reflète la structure de gouvernance du projet. L'actionnariat est réparti comme suit : EIH-Enagás avec 50 %, NaTran avec 33,3 %, et Teréga avec 16,7 %.

Cette étape cruciale a été annoncée huit jours après la réaffirmation du soutien européen lors d'une réunion de haut niveau, à Bruxelles, entre les dirigeants des cinq entreprises impliquées dans le projet H2med et la vice-présidente exécutive de la Commission européenne, Mme Teresa Ribera, en charge de la Transition propre, juste et compétitive.
