Dentons advises EMMA Capital on acquisition of controlling stake in Entain CEE

Prague-Global law firm Dentons has advised long-standing client EMMA Capital on the signing of an agreement to acquire an additional 20% stake in Entain CEE from Entain plc. Upon completion of the transaction and implementation of governance arrangements agreed with Entain and the Juroszek family, EMMA Capital will become the controlling shareholder of Entain CEE.

The transaction, which values Entain CEE at approximately €2 billion, represents another significant milestone in the development of the joint venture established by EMMA Capital and Entain in 2022 following the Entain CEE's acquisition of SuperSport, Croatia's leading sports betting and gaming operator. Since then, Entain CEE has expanded significantly, including through the acquisition of Polish market leader STS, creating one of the leading regulated sports betting and gaming operators in Central and Eastern Europe.

The transaction is subject to customary regulatory approvals and is expected to be completed in the fourth quarter of 2026. Dentons advised EMMA Capital through a cross-border team from its Prague, Budapest and London offices, led by Rob Irving, Partner, Prague. The Budapest team comprised Sebastian Ishiguro, Counsel, Brigitta Kovács and Liliana Flam, Associates and Kamran Pirani, Partner.
