Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers

On February 28, 2026, Zhiyi (Jonathan) Zhang notified Nature's Miracle Holdings, Inc. (the "Company") of his decision to resign from his position as President of the Company, effective as of such date, and from the board of directors of the Company (the "Board") and the committees thereof, effective as of December 31, 2025. In connection with Mr. Zhang's departure from the Company, Jinlong (Frank) Du has been appointed by the Board to Mr. Zhang's former positions, as previously disclosed in the Company's current report on Form 8-K filed on February 9, 2026. Mr. Zhang's resignation was not because of any disagreement with the Company on any matter relating to the Company's operations, policies, or practices.
