FiberCop S.p.A., a joint stock company (società per azioni) incorporated under the laws of the Republic of Italy (the "Issuer") and Italy's largest digital network infrastructure operator, announced today that it has successfully priced its additional notes offering (the "Offering") of €500,000,000 in aggregate principal amount of 5.375% senior secured notes due 2031 (the "Additional Notes"). The Additional Notes will be issued at an issue price of 101.000% plus accrued and unpaid interest in respect of the period from, and including, 10 April 2026 to, but excluding, April 22, 2026.
The Additional Notes will, on the issue date of the Additional Notes, be consolidated and form a single series with the €1,000,000,000 5.375% Senior Secured Notes due 2031 of the Issuer issued on 10 April 2026 (ISIN code: XS3338785937).
The Offering of the Additional Notes is scheduled to close on or about April 22nd 2026, subject to customary closing conditions.
The proceeds from the Offering, together with cash on balance sheet, are expected to be used to (i) pay the purchase price for one or more of the Issuer's outstanding series of the €507,715,000 aggregate principal amount of 2.375% Senior Secured Notes due 2027, the €625,000,000 aggregate principal amount of 6.875% Senior Secured Notes due 2028 and the €750,000,000 aggregate principal amount of 7.875% Senior Secured Notes due 2028 (collectively, the "Tender Offer Notes") validly tendered and accepted for purchase by the Issuer, up to €500,000,000 million, pursuant to a concurrent tender offer (the "Tender Offer"), together with accrued and unpaid interest thereon, up to, but excluding, the settlement date of the Tender Offer and (ii) pay any fees and expenses in connection with the Offering and the use of proceeds therefrom.
