We are offering an aggregate of 75,942,666 shares (the "Offered Shares") of our common stock, par value $0.0001 per share (the "Common Stock"), pursuant to this prospectus supplement, the accompanying base prospectus and that certain subscription agreement, dated April 16, 2026 (the "Subscription Agreement"), by and between us and Vivasor, Inc. ("Vivasor"). Pursuant to the Subscription Agreement, Vivasor issued and sold to us 8,163,265 of its Series A Common Stock (the "Vivasor Shares") at a price of $6.125 per share, for an aggregate purchase price of $50 million. The Offered Shares are being issued as consideration for the purchase of the Vivasor Shares.
Because the Offered Shares offered by this prospectus supplement will be issued only as consideration to Vivasor in respect of the Vivasor Shares, we will not receive any proceeds from this offering. We are not paying underwriting discounts or commissions, nor are we utilizing the services of any placement agent for this offering. No underwriter or other person has been engaged to facilitate this issuance of the Offered Shares.
We will pay all of our expenses in connection with the registration, offering, and issuance of the Offered Shares pursuant to the Subscription Agreement.
Our Common Stock is listed on the Nasdaq Capital Market, under the symbol "DVLT." On April 22, 2026, the last reported sale price of our Common Stock on the Nasdaq Capital Market was $0.76 per share.

We are offering 75,942,666 shares of our Common Stock pursuant to this prospectus supplement and the Subscription Agreement. Pursuant to the Subscription Agreement, Vivasor issued and sold to us 8,163,265 of its Series A Common Stock at a price of $6.125 per share, for an aggregate purchase price of $50 million. The Offered Shares are being issued to Vivasor as consideration for the purchase of the Vivasor Shares. We anticipate that the Offered Shares will be delivered on or about April 23, 2026. At the closing of this offering, VStock Transfer, LLC will credit the Offered Shares to the account of Vivasor.
Expenses
We will pay all of our expenses in connection with the registration, offering, and issuance of the Offered Shares pursuant to the Subscription Agreement. The Offered Shares are being offered directly to Vivasor without a placement agent or underwriter and we are not paying any underwriting discounts or commissions in connection with this offering. We estimate that the total offering expenses of this offering that will be payable by us will be approximately $40,000, which includes legal and printing costs and various other fees.

Anti-Takeover Statute

on or after such date, the business combination is approved by the board of directors and authorized at an annual or special meeting of the stockholders, and not by written consent, by the affirmative vote of at least 662∕3% of the outstanding voting stock that is not owned by the interested stockholder.
In general, Section 203 defines a "business combination" to include the following:

any merger or consolidation involving the corporation and the interested stockholder;

any sale, transfer, pledge or other disposition of 10% or more of the assets of the corporation involving the interested stockholder;

The combination of these provisions makes it more difficult for our existing stockholders to replace our board of directors as well as for another party to obtain control of us by replacing our board of directors. Since our board of directors has the power to retain and discharge our officers, these provisions could also make it more difficult for existing stockholders or another party to effect a change in management. In addition, the authorization of undesignated preferred stock makes it possible for our board of directors to issue preferred stock with voting or other rights or preferences that could impede the success of any attempt to change our control.
