Dentons advises Saudi Holding Company for Conversion Industries (Tahweel) on completion of its acquisition of Al Rowad Industrial Transformation Company

Riyadh -Dentons has advised Saudi Holding Company for Conversion Industries (Tahweel) on the successful completion of its acquisition of 100% of the share capital of Al Rowad Industrial Transformation Company and its subsidiaries from National Industrialization Company (Tasnee).

The transaction completed on 31 August 2026 following the satisfaction of all conditions precedent, including receipt of the required regulatory approvals.

The transaction has an enterprise value of SAR 700 million.

Dentons first announced its role advising Tahweel on the transaction in April 2026. In July 2026, the Saudi General Authority for Competition issued its no-objection to the economic concentration associated with the acquisition, satisfying one of the conditions precedent to completion.

Al Rowad Industrial Transformation Company is one of the leading groups in the plastic conversion industry, comprising a number of specialised companies providing solutions across the packaging, agriculture, infrastructure and industrial sectors. Its group companies include Al-Rowad Global Packaging Company Ltd, Taldeen for Plastic Solutions Company Ltd, Al-Rowad National for Plastic Company Ltd, Al-Rowad International Geosynthetics Company Ltd and Al-Rowad United Marketing.

The acquisition represents a significant strategic investment for Tahweel, an industrial investment and operational company, and further strengthens its position in the Kingdom of Saudi Arabia's downstream manufacturing and conversion industries.
