The Company has been unable to file with its Annual Report on Form 10-K for the fiscal year ended June 30, 2025 (the "2025 Form 10-K") with the SEC within the prescribed time period without unreasonable effort or expense. Our main reason includes complexities in finalizing financial statements, waiting on the completion

of an audit and unexpected delays in gathering necessary data.
