Global law firm Norton Rose Fulbright has advised Atlas Air Worldwide on its agreement to acquire a 49 percent minority stake in Air Atlanta, establishing a strategic partnership to expand its global aviation platform and enhance access to widebody capacity.
Atlas Air Worldwide, a global provider of outsourced aviation logistics, has entered into a share purchase agreement to acquire the minority interest in Air Atlanta, an Iceland-headquartered ACMI and aircraft management services provider with operations in Iceland and Malta.
Separately, Atlas, through its Titan Aviation Holdings subsidiary, is acquiring aircraft owned by the Air Atlanta group and leasing them back to the airline companies to support ongoing operations. Air Atlanta currently operates a fleet comprising 14 widebody freighter aircraft, including Boeing 747 and 777 models, alongside four passenger aircraft.
Air Atlanta will continue to operate under its existing management team and structure, with the current management retaining a majority interest in the airline operating companies. The two businesses will collaborate to pursue additional commercial opportunities and support further growth in the global aviation sector.
The transaction is expected to complete in the third quarter of 2026, subject to customary regulatory approvals and closing conditions.
The Norton Rose Fulbright team advising on the transaction was led by corporate partner Chris Randall, supported by senior associates Adam Worth and Jess Ong-Davys, associate Dennis Ng and trainee Sipadan Stather. The regulatory aspects were led by partners Ian Giles (Head of Antitrust and Competition, EMEA) and Jamie Cooke, with counsel Amanda Town, associate Oscar Baker and trainee Fergus McWilliams. Aviation matters were supported by partner Will Alete, senior associate Vicky Jeong, associate Aonaid Carr and trainee Pranjal Pande.
