Item 8.01 Other Events.

On April 24, 2025, Leonard Mazur and Lynne Bui, MD notified the Board of Directors of Tharimmune, Inc. (the "Company") that they will not seek re-election at the end of their terms and will retire from the Board at the Company's 2025 Annual Meeting of Stockholders scheduled to be held on June 10, 2025. Both of their retirements will be effective on that date. Mr. Mazur's and Dr. Bui's retirement does not relate to any disagreements with the Company, its management or the Board of Directors.
