Amsterdam-Global law firm Dentons has advised Wintershall Dea on the sale of its 50% shareholding in Wintershall Noordzee B.V. to Mazarine Energy B.V., Netherlands based upstream oil and gas operator. Following satisfaction of all conditions precedent, the transaction has now completed.
Wintershall Noordzee, headquartered in Rijswijk and established in 1965, is one of the larger producers of natural gas on the Dutch continental shelf, holding interests and operatorship across the Dutch, United Kingdom, German and Danish sectors of the southern North Sea. Alongside its producing portfolio, the company is executing a substantial well plug-and-abandonment and platform removal program running through 2027.
The disposal marks a further step in the orderly wind-down of Wintershall Dea's remaining asset base following the transfer of its exploration and production business to Harbour Energy in September 2024, and secures the transition of the business to an operator committed to its continued development and to the responsible execution of its decommissioning obligations.
A multi-jurisdictional Dentons team from the United Kingdom (Humphrey Douglas, Adjoa Kwakwa) and the Netherlands (Kuif Klein Wassink, Tim Mosk, Daniek Kradolfer) advised Wintershall Dea on the corporate, energy regulatory, decommissioning, employment, sanctions and competition aspects of the transaction.
