Berlin-Global law firm Dentons has advised the note creditors of BayWa AG in connection with the company's restructuring proceedings under the German Act on the Stabilization and Restructuring Framework for Companies (StaRUG).
At the end of January 2025, BayWa notified the competent Munich Local Court of its restructuring plans under the StaRUG. In April 2025, it submitted its restructuring plan, which was approved by the required majority of the approximately 300 financing creditors on May 15, 2025. The restructuring court then confirmed the plan on June 6, 2025. The restructuring plan implements key elements of the financing concept presented by BayWa, including the extension of the loans until December 31, 2028.
The submission of the restructuring plan was preceded by intensive consultations between BayWa AG, its financing creditors, and other key stakeholders. This initially involved agreeing on a key issues paper in October 2024, followed by a financing concept, which was updated in February 2025.
Dentons provided legal advice to almost all BayWa AG's promissory note creditors - in particular Volks- und Raiffeisenbanken, Sparkassen and other national and international credit institutions - in connection with the restructuring and coordinated the representation of their interests. In the future, Dentons will continue to coordinate the promissory note lenders during the restructuring period as promissory note agent. Dentons will also represent the holders of BayWa AG's commercial paper.
