Management Fee Waiver
On September 24, 2025, StratCap Digital Infrastructure Advisors II, LLC (the "Advisor"), the advisor of StratCap Digital Infrastructure REIT, Inc. (the "Company"), agreed to waive accrued, unpaid management fees otherwise payable to the Advisor by the Company pursuant to the Amended and Restated Advisory Agreement, by and among the Advisor, the Company, and SWIF II Operating Partnership, LP, in the amount of $1,400,000 for the period from September 1, 2024 through August 31, 2025.
