Annual and Special Meeting of CIRO Members

Notice of CIRO's 2026 Annual and Special Meeting (Meeting) was sent to all CIRO members via mail and email on August 27, 2026. For dealer members notice was directed to the firm's Ultimate Designated Person and copied to the Chief Compliance Officer. Please note that the email copy of the notice was delivered from TMX Investor Solutions, not from a CIRO domain address.

The Meeting will be held in-person at CIRO's Toronto Office, Bay Adelaide North, 40 Temperance Street, Suite 2600, Toronto, Ontario, at 4:00 pm (Eastern) on the 23rd day of September, 2026, for the following purposes:

Ordinary Business

1. to receive and consider the financial statements of the Corporation for the financial year ended March 31, 2026, and the independent auditor's report thereon;
2. to elect directors of the Corporation;
3. to appoint a public accountant to conduct an audit engagement and to authorize the directors to fix its remuneration;

Special Business

1. to consider and, if thought advisable, pass a special resolution approving an amendment to Section 5.4 of By-Law No. 1 of the Corporation; and
2. to transact such further and other business as may properly come before the meeting or any adjournment thereof.

Please ensure that you register to view the meeting well in advance, as advance registration is required this year. Members participating via Webex can view the meeting and ask questions. Please note that live electronic voting is not available through Webex. Members who do not attend the meeting in-person but wish to vote may do so by proxy before the Meeting. Instructions for submitting a proxy vote are included in the Notice of Meeting mailed to members and on the Form of Proxy.

All members are encouraged to submit their Form of Proxy to help ensure that quorum requirements for the Meeting are met. Please note that Members can expect to be contacted Carson Proxy Advisors in that regard.
