This prospectus supplement relates to the offer and resale by the selling stockholders (the "selling stockholders") identified in this prospectus supplement of up to an aggregate of 12,853,470 shares of our common stock, par value $0.01 per share (the "common stock"), which includes 2,412,632 shares issuable upon the exercise of the pre-funded warrants. The 10,440,838 shares of our common stock and pre-funded warrants to purchase up to 2,412,632 shares of our common stock were sold to the selling stockholders in a private placement that closed on July 24, 2026.
We are not selling any shares of common stock under this prospectus supplement and will not receive any proceeds from the sale by the selling stockholders of such shares.

Private Placement
On July 23, 2026, we entered into a Securities Purchase Agreement (the "Purchase Agreement") with the selling stockholders named in this prospectus supplement, pursuant to which we sold and issued, in a private placement transaction (the "Private Placement"), 10,440,838 shares of our common stock and pre-funded warrants to purchase up to an aggregate of 2,412,632 shares of our common stock at the closing on July 24, 2026. Each share of common stock was sold at a price of $3.89 per share and the pre-funded warrants were sold at a price of $3.88 per pre-funded warrant share. The pre-funded warrants have an exercise price of $0.01 per share, subject to customary adjustments, and will not expire until exercised in full. The pre-funded warrants are also exercisable on a net exercise "cashless" basis. The pre-funded warrants may not be exercised if the aggregate

Company Overview
We are a biopharmaceutical company focused on the development and commercialization of innovative therapeutic products and devices to address serious unmet medical needs for those living with endocrine and orphan lung diseases. In our endocrine business unit, we currently commercialize two products: Afrezza (insulin human) Inhalation Powder, an ultra rapid-acting inhaled insulin indicated to improve glycemic control in adults with diabetes, and the V-Go wearable insulin delivery device, which provides continuous subcutaneous infusion of insulin in adults that require insulin.
The proprietary formulation and inhaler technologies used in Afrezza have also been deployed in our efforts to develop products to treat orphan lung diseases. Our first product to address an orphan lung disease, Tyvaso DPI (treprostinil) inhalation powder, received FDA approval in May 2022 for the treatment of pulmonary arterial hypertension and pulmonary hypertension associated with interstitial lung disease.
Our pipeline of potential treatments for orphan lung diseases includes MNKD-101, a nebulized formulation of clofazimine, for the treatment of severe chronic and recurrent pulmonary infections, including nontuberculous mycobacterial lung disease.
The other major program in our pipeline is MNKD-201, a dry-powder formulation of nintedanib, for the treatment of idiopathic pulmonary fibrosis.

the holders of at least 25% in aggregate principal amount of the outstanding debt securities of that series have made written request; |

LEGAL OWNERSHIP OF SECURITIES
