Global law firm Norton Rose Fulbright has advised Velvet CARE on the acquisition of 100% of the shares in Italian Paper and Private Label Tissue.
Velvet CARE is one of the largest producers of hygiene tissue products in Central Europe, employing over 1,200 people across Poland and Czechia. The acquisition of shares in Private Label Tissue, a manufacturer of paper hygiene products, and Italian Paper, a distributor specializing in supplying these products, follows its 2020 acquisition of Moracell, Czechia's largest producer of toilet paper and paper towels.
Private Label Tissue and Italian Paper portfolios include brands such as King, Słonik Jumbo, Kartika, Comfort Plus, Miśki, and GoGreen, which are offered not only in Poland but also in international markets.
As a result of the consolidation, the Velvet CARE Group has increased its processing capacity to approximately 210,000 tons annually, with total revenues expected to exceed 2 billion PLN in 2025.
The Warsaw-based Norton Rose Fulbright team was led by partner Agnieszka Braciszewska, who leads the Warsaw corporate and M&A practice as well as counsel Artur Jończyk. They were supported by the multi-disciplinary Warsaw corporate team including senior consultant Piotr Strawa, counsels Małgorzata Patocka and Joanna Braciszewska-Szarapa, senior associate Maciej Dubiel and associates Magdalena Olechniewicz-Blocher, Jan Nowjalis and Damian Pawlak.
