Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 25, 2024, Denise M. Clark, a member of the board of directors (the "Board") of United Natural Foods, Inc. (the "Company"), notified the Company that she will not seek reelection at the Company's upcoming annual meeting of stockholders (the "Annual Meeting"). Ms. Clark will continue to serve on the Board until the Annual Meeting.
Ms. Clark has confirmed that her decision not to stand for reelection is not due to any disagreement with the Company or any matter relating to the Company's operations, policies or practices.
Effective immediately after the Annual Meeting, the size of the Company's Board will be reduced from 11 to 10 directors.
