Dentons advised Arete Group, an independent asset manager operating in the real estate and energy sectors, on its debut transaction in the Polish energy market - the acquisition of Bio Term. The deal received all required regulatory approvals.
Bio Term is engaged in the generation of thermal and electric energy, as well as the transmission and distribution of heat and electricity trading. The company owns and operates a gas-fired combined heat and power (CHP) plant located in Świebodzice.
"This is the first transaction of the Arete Energy Transition Sicav fund, which we launched in May 2025. It demonstrates our ability to identify and acquire attractive energy investments and confirms that there are many high-quality opportunities on the market," said Martin Pacovský, Investment Director of Arete Energy Transition Sicav.
Dentons provided comprehensive transactional support throughout the acquisition process. The team in Warsaw was led by partner Maciej Skoczyński, with counsel Maciej Ziółkowski leading advice on energy and regulatory matters. Other team members included associates Gracjan Bielawski and Aleksandra Pędzich from the Energy and Natural Resources practice, senior associate Katarzyna Kozak and associate Bartłomiej Książek from the Mergers and Acquisitions practice, and senior associate Marta Kolarz from the Employment team.
